This License Agreement (hereinafter referred to as the «Agreement») is entered into by and between the person who becomes a Party to this Agreement upon commencing the Use of the Program (the «User») and Gramax LLC, the exclusive owner of the Program (hereinafter referred to as the «Licensor»).

1. Terms and Definitions

1.1. For the purposes of this Agreement, the following terms shall have the meanings given below:

  1. 1.1.1. Program – refers to an objectively presented set of data and commands intended for the operation of computers and similar devices to achieve a specific result, including preparatory materials obtained in the course of the Program's development and the audiovisual displays produced by it. It is pertinent to make mention of the Gramax computer program (Certificate of State Registration of Computer Program No. 2023667636), and its Web version. This version can be accessed without the need for distribution download via a web browser with an active Internet connection. The URL is
  2. 1.1.2. Licensor – Gramax LLC, the exclusive owner of the Program, located at Yaroslavskaya Street 8, Building 6, Moscow, 129164, Russia; with taxpayer identification number 9717140583, is the Licensor.
  3. 1.1.3. User – An individual or legal entity that installs and/or uses the Program for legitimate reasons, or has legally obtained a copy of the Program.
  4. 1.1.4. Licensor's Official Website – The Internet website run by the Licensor, which can be found at
  5. 1.1.5. Web Versions of the Program – refers to versions of the Program that the User can access via a web browser at, without the need for distribution downloads with an active Internet connection.
  6. 1.1.6. Installation – The initiation process that involves saving the Program in the computer's memory to allow storage and usage for functionality purposes.
  7. 1.1.7. Use of the Program – Any activity linked to the operation of the Program as per its intent, which includes the exploitation of its functionalities.
  8. 1.1.8. License – a non-exclusive, non-transferable right to use the Program in the capacity of its direct functional intent.

2. General Provisions

2.1. This Agreement, in accordance with the Civil Code of the Russian Federation, is a mixed one and includes an accession agreement (Article 428 of the Civil Code of the Russian Federation) and a license agreement (Article 1286 of the Civil Code of the Russian Federation) and is concluded in electronic form by starting the Use of the Program by the User.

2.2. This Agreement outlines the terms and conditions under which the Licensor grants the User the right to use the Program.

2.3. A mandatory condition for entering into this Agreement is the full and unconditional acceptance and compliance by the User with the Personal Data Processing Agreement.

2.4. The User must either provide unconditional consent to all terms of this Agreement or cease using the Program immediately.

2.5. The Agreement comes into force from the moment the User expresses consent to its terms. If the User has not agreed to the terms of this Agreement, then he does not acquire any rights under this Agreement.

2.6. The User is recognized as having agreed to the terms of this Agreement from the moment of performing any of the following actions:

  1. 2.6.1. Using the Program, namely, the User performing any of the actions that are a way of Using the Program under this Agreement; or
  2. 2.6.2. Acceptance by the User of this Agreement by marking the appropriate paragraph or a positive answer to the question of acceptance of the Agreement in the dialog box during installation or the first launch of the Program; or
  3. 2.6.3. Signing of this License by the Licensee.

Subject of the Agreement

3.1. The Licensor gratuitously grants the User the non-transferable right to Use the Program globally for its intended purposes, reproducing it under ordinary (non-exclusive) license terms.

3.2. The Licensor guarantees that they have all legitimate grounds for granting the User the right to Use the Program within the scope established by this agreement.

4. Limitations and Restrictions

4.1. The rights to Use the Program are granted for the entire duration of the Licensor's exclusive rights to the Program.

4.2. Nothing in this Agreement shall be construed as a transfer of the exclusive rights to the Program for computers to the User or as granting the right to sublicense.

4.3. The Program is provided to the User on an “as is” basis. The Licensor does not provide any express or implied warranties, including but not limited to, fitness for a particular purpose or meeting the User's personal expectations of the Program. Furthermore, the Licensor does not warrant that the Program will be error-free, uninterrupted, or compatible with other software installed on the User's computer, aside from those listed on the Licensor's Official Website.

4.4. The Licensor shall not be held responsible for any direct or indirect damages that the User may incur. Additionally, the Licensor will not compensate the User for any losses (including, but not limited to, lost profits) that may arise due to poor quality of public communication channels, traffic exchange limitations between providers, or the issues arising from the functionality of the Internet network.

4.5. The Licensor is not obliged to correct flaws or errors of the Program regardless of the time of detection of flaws or errors, is not obliged to train the User to work with the Program or provide technical support to him, and is not obliged to transmit corrections or updates, new or modified versions of the Program.

4.6. Within the scope of the granted ordinary (non-exclusive) license, the following methods of using the Program are allowed:

  • reproducing the Program, i.e., creating one or more copies of the Program in any material form and recording them in the memory of electronic devices (the right of reproduction);
  • distributing copies of the Program, i.e., providing access to the reproduced Content in any material form, including through networks and other means (the right of distribution);
  • publicly displaying the Program (the right of public display);
  • providing access to the Program in such a way that allows any person to access it in an interactive manner from any location and at any time at their discretion (right to communication to the public).

4.7. The User is strictly prohibited from deleting or modifying any copyright symbols, indications of the Licensor, copyright notices, Program identifiers, documents, or materials associated with the Program.

4.8. The User is permitted to use the Program within their own software products, but it is mandatory to clearly indicate both the name of the Program and the Licensor.

5. Final Provisions

5.1. This Agreement is governed by the legislation of the Russian Federation, regardless of whether the User belongs to any state or jurisdiction.

5.2. Pre-court dispute resolution is mandatory. A claim submitted within the framework of the pre-court dispute resolution process must be substantiated and contain a description of the specific, reliable circumstances of non-performance or breach of material terms of this Agreement. A claim that does not comply with the conditions set forth in this clause shall not be recognized by the Parties as a document aimed at complying with the pre-court dispute resolution process. The Party receiving the claim is obliged to provide a reasoned response to the claim to the other Party no later than 50 (fifty) calendar days from the date of receipt of the claim. In the event of failure to reach an agreement, the dispute shall be referred to a judicial authority in accordance with the jurisdiction established by law at the location of the Licensor.

5.3. This Agreement may be amended unilaterally by the Licensor. The amended version of the Agreement is published on the Licensor's Official Website.
